Folio

User Agreement

1. The service agreement

This User Agreement covers Folio, the PDF editor offered under the PrivitMedia brand, and its related account and cloud features. “PrivitMedia,” “we” and “us” mean Privit Media LLC, 558 Kensington Lake Circle, Brandon, FL 33511, United States. “You” means the person using Folio or the business for which that person has authority to act. Separate commissioned website or client-project work requires its own agreement.

You must affirmatively agree to the current version before starting a free account, purchasing, upgrading, saving to the paid cloud service or entering the account-connected editor. You acknowledge the Privacy Policy separately; that acknowledgment is not a waiver of privacy rights. Owner demonstrations of this draft are not a customer purchase. If you do not agree, do not purchase or continue using paid features; existing saved copies remain available for download or removal.

Marketing permission is a separate, optional choice. Signing up or accepting this agreement does not by itself authorize promotional emails. Essential account, security and billing messages are separate from promotional campaigns.

2. Eligibility and account responsibility

You must be at least 18 and legally able to enter this agreement. If you act for a business, you represent that you are authorized to bind that business. Use accurate account information and secure your sign-in, browser profile and devices. Tell us promptly if you believe your account has been misused.

Each subscription and cloud allowance is for one user account. Business tiers do not include shared company storage, account resale, team administration or a service-level agreement unless separately agreed in writing.

3. Folio Free and the weekly allowance

Folio Free has no subscription charge and needs no payment card. Sign in and accept the agreement to start. It includes unlimited PDF viewing and local editing with text, highlights, notes and visual signatures, with up to three edited PDF downloads each week. It does not include cloud saving, merging PDFs, redaction or Business templates. Paid plans add their stated features and unlimited edited downloads.

The shared weekly period runs from Monday 00:00 UTC to the next Monday 00:00 UTC; your account shows the reset time in your browser’s local time. One allowance is used when the service authorizes a new edited PDF download after generating the file, just before the browser starts the download. Browser save dialogs, canceled operating-system downloads and device save failures may still count. Retrying the same interrupted authorization does not use a second allowance.

Opening, viewing or editing local documents does not use an allowance. When three downloads are used, viewing and local editing remain available and you may wait for the next reset or choose a paid plan. Downloading a previously stored cloud copy and removing saved files are not counted as new edited free exports. The allowance is tied to the signed-in account, across devices.

Free access depends on the free offer remaining available. Material changes will be notified as required by law and will not retroactively change accepted billing obligations. You remain responsible for keeping your own local and downloaded copies.

4. License and ownership

During your permitted access, PrivitMedia grants a limited, non-exclusive, non-transferable right to use Folio for lawful personal or business work under your plan. We retain rights in Folio’s software, branding and service, subject to the licenses of included third-party components. This agreement does not remove rights you have under an applicable open-source license.

You retain ownership of your documents and annotations. You grant only the permission needed to store, process, deliver, protect and remove the copies you ask the service to handle. You represent that you have the rights and any permissions required to upload, edit, sign, redact or otherwise use those documents. You are responsible for the lawfulness of your content and instructions.

5. PDF tools and your review obligations

Folio adds annotations, text and visual signatures, and can merge, organize and export PDF pages. It does not promise full editing of existing PDF text, OCR, certified electronic signatures, legal validity of a signature, or suitability for a particular regulated workflow.

Redaction exports rebuild selected pages as images and remove marked content and original hidden data from the exported copy. Searchable text, comments, links, forms and original metadata are removed in that process. Originals and previously saved cloud copies are unaffected. Review every page of the final exported or saved copy before sharing it. Annotation templates do not reuse redaction marks, and their placement must be checked for each document.

You are responsible for verifying output, recipients, page order, signature placement and redaction coverage. Keep your own backup copies. Folio is not offered as an archival repository, a guaranteed backup service or a substitute for professional legal, financial or compliance advice. Nothing here excuses a failure to meet obligations that applicable law places on PrivitMedia.

6. Monthly and yearly subscriptions, renewal and cancellation

Folio Free is $0 with three edited PDF downloads per week and no cloud storage. Current USD prices per user, shown as monthly / yearly, are: Folio Editor $1.99 / $19 with no cloud allowance; Folio Cloud $2.99 / $29 with 1 GB; Business Editor $3.99 / $39 with no cloud allowance; Business Cloud 20 GB $4.99 / $49; 50 GB $7.99 / $79; 100 GB $10.99 / $109; and 200 GB $15.99 / $159. Displayed GB allowances use 1,024-based units. Any different price or allowance must be disclosed before purchase.

Stripe processes payment. The checkout or billing confirmation shows the plan, selected monthly or yearly price, payment currency and any applicable tax, currency conversion fee or prorated adjustment before you commit. A subscription renews monthly or yearly according to the schedule you select, until you cancel renewal. Yearly billing charges the full yearly price upfront; it is not a monthly installment plan. Cancel through Manage subscription before the next renewal; access normally continues through the period already paid, subject to a lawful suspension or mandatory rights.

USD is the authoritative base currency. Local currency amounts shown on our pages are estimates based on periodically refreshed reference rates, with the USD price shown alongside. They are not a payment quote. Where Stripe Adaptive Pricing is available and enabled, Stripe converts the USD amount into an offered local payment currency and shows the exchange rate, conversion fee and final amount before confirmation. Stripe’s conversion fee may be 2–4%; availability depends on country, currency and payment method. If you pay in USD, your bank may apply its own exchange rate and fees. Renewal conversion rates and local amounts may change while the USD plan price remains the same. Your browser or display-currency selection does not change your plan, billing interval or authoritative USD price.

Price changes for renewal will be notified before they take effect with an opportunity to cancel, as required by law. Refunds, cooling-off rights and remedies follow applicable law and any additional refund policy disclosed at checkout. This agreement does not impose a blanket no-refund rule or waive mandatory digital-service or consumer rights. No separate early-performance or withdrawal-right waiver is implemented in this release.

7. Complimentary memberships

An authorized Folio administrator may grant a registered account six or twelve calendar months of complimentary access to a named plan. The grant starts when confirmed, replaces any earlier complimentary grant and expires at the date shown in your Folio account. Month-end dates are limited to the last valid day of the expiry month. The selected plan determines the included tools and any private cloud allowance; no payment card is required for the grant.

A complimentary grant does not become a paid subscription automatically and never creates a charge merely because it expires. When it expires or is withdrawn, any independently active paid subscription continues; otherwise an eligible account may use Folio Free with its restrictions. New cloud saves stop without an active cloud entitlement, while existing copies remain downloadable and removable under the retention policy. Paid and complimentary allowances are not added together; the applicable higher storage allowance is used.

Granting or ending complimentary access does not pause, cancel or refund an existing Stripe subscription. Any existing paid renewal must be managed separately through billing. Complimentary access remains subject to the agreement, lawful suspension and the terms disclosed for the offer. Administrators record the reason for granting, replacing or ending a grant. If an offer is withdrawn, applicable notice, remedies and mandatory rights remain protected.

8. Storage limits and confirmed upgrades

Cloud saves are limited to 20 MB per PDF, using 1,024-based units. The app shows an in-app warning at 80% of your allowance. A save that would exceed the allowance is blocked and the next larger storage tier is offered: 1 GB → 20 GB → 50 GB → 100 GB → 200 GB.

No automatic plan increase or additional charge occurs merely because you reach a limit. You must review and confirm the new plan and any prorated charge or credit in Stripe. Additional storage is enabled after payment is verified. Retry the cloud save afterward; the rejected copy is not automatically uploaded.

If you decline or upgrade payment is not verified, the prior paid allowance remains while the subscription remains active. Remove saved copies to make room. At the 200 GB ceiling, download or remove copies or contact info@privitmedia.com. A downgrade may stop new uploads when usage is above the new allowance; it does not automatically delete existing files.

9. Local data, cloud data and ending access

Local documents, editable history and templates live in your browser, not in an automatically synchronized account backup. A successful cloud save stores an exported PDF copy. Removing a cloud copy does not remove your local originals or downloads.

When a subscription ends, paid features and cloud saving stop. If the free offer is open and you have accepted the current agreement, basic free editing and its weekly allowance remain available, but saved cloud copies remain downloadable and removable under the current retention policy. There is currently no automatic deletion schedule for expired accounts. To request account closure or deletion, contact info@privitmedia.com. Legal record-retention duties and provider backup or log retention may apply.

If retention or service availability is materially changed, we will provide the notice and export opportunity required by law. Keep copies of important files independently of the service.

10. Acceptable use

Do not use Folio to violate law or third-party rights, upload content you are not authorized to handle, falsify another person’s signature, distribute malware, attempt unauthorized access, bypass billing or storage controls, interfere with other users, or overload the service.

Do not rely on the service for data that requires protections, regulated assurances or a written data-processing agreement we have not agreed to provide. We may investigate reasonably suspected misuse, restrict access where needed for security or legal duties, and give an explanation and a reasonable opportunity to resolve the issue when feasible.

11. Third-party services and availability

Hosting, ChatGPT sign-in, browser capabilities, fonts and Stripe billing are provided in part by third parties. Their separate terms may apply. Folio is an independent PrivitMedia product and is not Adobe Acrobat or an Adobe-sponsored service.

We may maintain, repair and improve Folio. We do not promise uninterrupted operation, support response times or a particular recovery time unless separately agreed. We will not use this clause to avoid obligations or remedies that cannot lawfully be excluded.

12. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Folio is provided “as is” and “as available,” without additional express or implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that every PDF, browser, signature or redaction output will meet your specific requirements.

This disclaimer does not exclude statutory guarantees, promised essential service characteristics or remedies that applicable law does not allow us to exclude. Consumers retain all mandatory rights.

13. Limits on liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PrivitMedia and its personnel are not liable for indirect, incidental, special, consequential, exemplary or punitive losses, including lost profits, revenue, business opportunities or goodwill arising from Folio. Loss or corruption of documents is excluded only to the extent that exclusion is lawful; this clause does not turn a direct, non-excludable loss into an indirect loss.

Subject to the exceptions below, PrivitMedia’s aggregate liability for claims arising from Folio is limited to the greater of US$100 or the fees you paid PrivitMedia for Folio during the 12 months before the event giving rise to the claim. This is an aggregate cap, not a new cap for each claim.

No limitation or release applies to fraud, willful misconduct, gross negligence, death or personal injury where exclusion is unlawful, or any liability, statutory remedy, privacy right or consumer protection that cannot legally be excluded or limited. Where local law permits a narrower limitation, only that lawful limitation applies. PrivitMedia remains responsible for obligations the law places on it.

14. Limited release and no provider indemnity

Only to the extent permitted by applicable law, you release PrivitMedia from claims arising solely from your unlawful or unauthorized content, misuse of the service, or your own distribution of an output that you failed to review. This limited release does not cover PrivitMedia’s breach, negligence where exclusion is prohibited, fraud, willful misconduct, gross negligence or other non-excludable duties.

PrivitMedia does not undertake a contractual obligation to defend or indemnify you for your documents or your use of Folio unless a separate signed agreement expressly says so. This statement does not remove an obligation, remedy or right supplied by mandatory law.

15. Business-user indemnification

If you use Folio for business purposes, and to the extent permitted by law, you will defend, indemnify and hold harmless PrivitMedia and its personnel from third-party claims and reasonable, necessary defense costs arising from your unlawful or infringing content, unauthorized signatures, misuse of the service or material breach of this agreement.

This obligation does not cover losses caused by PrivitMedia’s breach, fraud, gross negligence, willful misconduct or responsibility that cannot lawfully be shifted to you. It does not impose an unlimited indemnity on consumers.

PrivitMedia must give reasonably prompt notice of the claim and reasonable cooperation, at your reasonable expense. You may control the defense with competent counsel reasonably acceptable to PrivitMedia. You may not agree to an admission of wrongdoing, payment or continuing obligation for PrivitMedia without its written consent, which will not be unreasonably withheld. PrivitMedia may participate with its own counsel at its own expense.

16. Suspension, termination and disputes

You may stop using Folio and cancel renewal at any time. We may suspend or end access for a material breach, a security threat, nonpayment or a legal requirement. Where feasible, we will provide notice and an opportunity to correct a breach. Applicable refund rights and access to your copies will be respected; access may be restricted if required for security or law. Administrators record restrictions and restoration with an internal reason and timestamp.

In this release, suspension stops account-connected editor access, authorization of edited downloads, purchases, upgrades and new cloud saves, including complimentary and Free access. Billing management, withdrawal of marketing permission, and download or removal of existing cloud copies remain available. Suspension does not remotely erase local copies and does not by itself cancel Stripe renewal. Access may be restored when the reason is resolved; any restored plan must still be valid and unexpired. Contact info@privitmedia.com to discuss an access restriction or billing resolution.

Contact info@privitmedia.com first so we can try to resolve a concern. Florida law governs this agreement to the extent permitted, subject to mandatory protections that apply where you live. This agreement does not impose mandatory arbitration, waive class actions or require an exclusive court. Courts with jurisdiction and mandatory consumer protections remain available.

17. Changes and general provisions

Material agreement changes apply prospectively after appropriate notice and any acceptance required by law. An accepted version is recorded with your account and acceptance time. A later version does not retroactively waive an existing claim. Continued access to downloads or deletion is not treated as acceptance of new paid-service terms.

If a provision is unenforceable, the remaining lawful provisions continue. A failure to enforce a provision is not a permanent waiver. This agreement and the plan and billing details expressly accepted at checkout form the Folio service agreement, subject to mandatory law and any separate signed agreement. Notices and questions can be sent to info@privitmedia.com.
